These Terms of Use apply to Open Stock Data at stock.noler.com.

1. Acceptance

By visiting, accessing, or using Open Stock Data, you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the service.

YouTube features

When using YouTube features, you also agree to be bound by the YouTube Terms of Service. Videos remain hosted on YouTube and their rights remain with their respective owners. The current public example demonstrates saved video links and metadata; it is not proof of completed API acquisition.

3. What We Provide

Open Stock Data is a free research interface for company, security, ETF, market, ownership, transaction, and financial information, drawn from data supplied by our providers. It does not provide investment, legal, tax, or accounting advice, and nothing on it is a recommendation to buy, sell, or hold any security. Analyst ratings are shown as the research firms published them.

4. Data Limitations

Information may be delayed, incomplete, inaccurate, revised, unavailable, or affected by source and processing errors. A missing value is shown as "(m)", never filled with a guess. You are responsible for independently confirming information before relying on it or making a financial decision.

5. Acceptable Use

You agree not to:

• use the service for unlawful, abusive, fraudulent, or infringing purposes;
• interfere with security, rate limits, or service availability;
• reverse engineer or attempt to extract protected source code, secrets, or private data;
• misrepresent your identity or use the service to scam or impersonate others;
• present data from Open Stock Data as guaranteed, live, or professional advice.

6. Intellectual Property

Unless stated otherwise, Open Stock Data, its branding, software, designs, content, and related materials are owned by Family Chat Cloud Pte Ltd or its licensors and are protected by applicable intellectual property laws. Filings, records, and other third-party data shown on the site remain subject to their respective rights and terms.

7. Third-Party Services

Parts of the service rely on third-party infrastructure, hosting providers, data providers, and advertising partners. Their systems and rules may affect availability. We are not responsible for failures caused by third-party platforms outside our reasonable control. Links to third-party sites do not imply endorsement.

8. Availability and Changes

We may add, remove, suspend, or modify services, features, data, policies, or technical requirements at any time. We may also perform maintenance or security upgrades.

9. Disclaimers

To the maximum extent permitted by law, Open Stock Data is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted operation, error-free performance, the accuracy, completeness, or timeliness of any data, or suitability for every use case.

10. Limitation of Liability

To the maximum extent permitted by law, Family Chat Cloud Pte Ltd will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities arising from or related to your use of Open Stock Data.

Without limiting the above, our total aggregate liability to you for any and all claims arising out of or in connection with Open Stock Data, whether in contract, tort (including negligence), or any other legal theory, is strictly limited to the total amount you have actually paid us in the twelve (12) months immediately preceding the event that gave rise to the claim. Open Stock Data is free: if you have not paid us anything in that period, our maximum liability is zero. You agree that you will not seek to recover any losses from us beyond this cap, including (without limitation) trading or investment losses, lost profits, missed business opportunities, or any other consequential damage of any kind, even if those losses are foreseeable.

Some jurisdictions do not allow the exclusion or limitation of certain damages. If those laws apply to you, the limitations above apply to the maximum extent permitted by your jurisdiction; the rest of these Terms remain in effect.

11. Indemnification

You agree to indemnify, defend, and hold harmless Family Chat Cloud Pte Ltd, its directors, officers, employees, contractors, agents, shareholders, sub-processors, and affiliates from and against any and all claims, demands, suits, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use or misuse of Open Stock Data, your breach of these Terms of Use or our Privacy Policy, or your violation of any law, regulation, or third-party right.

12. Governing Law and Disputes

These Terms of Use and any dispute or claim arising out of or in connection with Open Stock Data are governed by the laws of Singapore.

Before starting a formal claim, you must first contact admin@noler.com and give us up to 30 days to try to resolve the matter in good faith. If the matter is not resolved within 30 days, the dispute may be brought only before the Small Claims Tribunals of Singapore, to the extent that tribunal has jurisdiction over the claim.

13. Severability, Waiver, Assignment, and Entire Agreement

If any provision of these Terms is held invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, that provision will be modified to the minimum extent necessary to be valid and enforceable, and the remaining provisions will continue in full force and effect. Our failure to enforce any provision is not a waiver of that provision or our right to enforce it later.

You may not assign, transfer, or sub-licence these Terms or any of your rights or obligations under them, in whole or in part, without our prior written consent. We may assign these Terms in whole or in part, including to an acquirer of our business or assets, without notice to you and without your consent.

These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and Family Chat Cloud Pte Ltd with respect to Open Stock Data.

14. Changes to These Terms

We may update these terms. The effective date above identifies the current version. Continued use after an update means you accept the revised terms.
